The in-house TELUS International Law & Governance team provides world-class, innovative solutions.  We are trusted advisors who collaborate closely with leaders and teams across the organization to deliver better outcomes for our internal and external customers.  

As a motivated and team-oriented Paralegal, you will work closely with the lawyers on the Law & Governance team, with internal clients and stakeholders across the organization and with external service providers across Canada and internationally.

As we continue to grow and evolve, you will play a key role in ensuring our securities and corporate governance practices support this growth and continue to deliver against our reputation as a world-class team. You will support our securities and corporate governance frameworks and processes, keeping current with securities law and corporate governance developments and recognizing and continuously seeking opportunities for improvement.

Responsibilities:

Contribute to securities and corporate governance and excellence and effectiveness at TELUS International by:

  • Ensuring compliance with applicable US and Canadian securities laws and exchange requirements, including continuous disclosure and filing requirements (e.g. SEDI, Sedar, Edgar, TMX, etc.)

  • Documenting, maintaining and updating TI’s securities practices to align with legal requirements, best practices and internal requirements, identifying opportunities for continuous improvement

  • Supporting TELUS International and its subsidiaries board requirements through:

  • Preparation for board and committee meetings, including through the timely and accurate preparation and posting of supporting materials

  • Supporting tracking and completion of actions arising from board and committee meetings, such as providing requested information to directors or implementing process improvements

  • Reviewing and drafting corporate governance-related materials and policies (e.g. Board Policy Manual, Director Orientation presentation, Insider Trading Policy, etc.): 

  • Ensuring timely filing of annual reports, changes in directors, updates to minute books, etc.

  • Maintaining physical and electronic corporate records

  • Distributing and managing of D&O questionnaires and evaluation forms and preparing associated reports and filings

  • Supporting preparation for annual general meeting of shareholders, working with third parties to support meeting requirements and regularly assessing their effectiveness

Requirements:

  • 7+ years experience as a Paralegal on in-house legal team or with a firm preferred

  • Experience with securities and corporate governance best practices – both US and Canadian requirements

  • Intense focus on details and accuracy, excellent organizational and drafting skills

  • Prepared to work shifted hours as required in support of filing deadlines or board/committee-related requirements

  • Excellent communication skills, able to engage and interact with sophisticated stakeholders, internally and externally

  • Ability to work independently, leading projects or initiatives with appropriate outreach and risk management

  • Strong business acumen and creativity with learning-oriented mindset and collaborative style, proven track record of executing and delivering in fast-paced environments

  • Familiarity with Microsoft and Google tool sets, board portals and platforms used by securities, exchange and corporate agencies

  • Paralegal certificate or diploma

  • Language diversity considered an asset


Other:

  • Working directly with and reporting directly to the VP, General Counsel and Assistant Corporate Secretary;

  • Opportunity for learning and development of corporate governance-related and regulatory-related skills and processes

  • Working from home or from office – prefer located in Ontario (Ottawa, Toronto), Quebec (Montreal) but also open to BC (Vancouver), and Alberta (Calgary)
